These Terms govern your access to and use of ChinarCRM operated by Chinar Code Private Limited, incorporated under the laws of India. By creating an account or using any part of the Service, you confirm that you are at least 18 years of age, have the legal authority to enter this agreement, and have read and agreed to these Terms.

ChinarCRM is a cloud-based Customer Relationship Management (CRM) software-as-a-service platform that enables agencies, consultants, and businesses to manage leads, clients, invoices, itineraries, support tickets, and team operations.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice. We will not be liable for any such modifications.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account:

• You must provide accurate, current, and complete information during registration
• You must keep your password secure and notify us immediately of any unauthorised access
• You may not share your account with others without explicit authorisation
• You are responsible for all activity conducted through your account
• One account per organisation, unless permitted under an Enterprise plan

ChinarCRM is offered on a subscription basis. By subscribing to a paid plan, you authorise us to charge you the applicable fees on a monthly or annual basis.

• Full refund available if you cancel within 7 days of initial purchase
• After 7 days, no refunds for the current billing period
• No refunds for partial months of service
• Exceptional cases may be considered at our sole discretion

Prices shown are exclusive of applicable taxes, including GST. We reserve the right to change pricing with 30 days' notice.

You agree to use ChinarCRM only for lawful purposes. You must NOT:

• Use the Service for any illegal, fraudulent, or harmful purpose
• Upload malware, viruses, or any harmful code
• Attempt to gain unauthorised access to our systems or other users' accounts
• Reverse engineer, decompile, or disassemble any part of our software
• Resell or sublicence the Service without explicit written permission
• Use the Service to send unsolicited communications (spam)
• Violate any applicable Indian laws, including IT and data protection laws

The ChinarCRM platform, including its software, design, logos, and content, is the exclusive intellectual property of Chinar Code Private Limited. All rights are reserved. Nothing in these Terms grants you ownership rights to our IP.

You retain full ownership of all data, content, and information you upload to ChinarCRM. By using the Service, you grant us a limited, non-exclusive licence to store and process your Customer Data solely to provide the Service to you.

Your use of the Service is also governed by our Privacy Policy, incorporated into these Terms by reference. With respect to client data you upload, you represent that you have the legal right to share and process such data.

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind. To the maximum extent permitted by applicable law, we disclaim all warranties including merchantability, fitness for a particular purpose, and non-infringement.

We will make commercially reasonable efforts to maintain 99.9% uptime but do not guarantee uninterrupted access.

To the maximum extent permitted by applicable Indian law, Chinar Code Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the total amount you have paid us in the three (3) months preceding the claim.

You may cancel your account at any time from within your account settings. Cancellation takes effect at the end of your current billing period. We may terminate or suspend your account immediately for violations of these Terms, non-payment, or activity that poses a risk to other users. Upon termination, you may export your data for 30 days before permanent deletion.

These Terms are governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Jammu & Kashmir, India. Before initiating legal action, you agree to attempt informal resolution by contacting us first. We will make reasonable efforts to resolve disputes within 30 days.
